Job Summary As the Regulatory Affairs & Entity Corporate Governance Specialist for US, Canada & Caribbean , reporting to the Head of Regulatory Affairs & Entity Corporate Governance , you will oversee adherence to corporate governance principles, entity compliance, and regulatory requirements across the regions. You will collaborate with departments such as Legal, IT, HR, Operations, Finance, Risk & Compliance, and Employment Law globally. This critical role will promote compliance excellence, risk management, and strategic decision-making. Key Responsibilities Manage governance frameworks supporting entity formation, dissolution, registration, and director/officer changes efficiently and compliantly. Ensure all entities comply with local laws and regulations. Maintain the company's entity management system, updating records of entity details, shareholders, directors, officers, and organizational charts. Lead strategic projects related to corporate governance, engaging with local regulators, law enforcement, and overseeing audits and discussions. Serve as a subject matter expert on governance and compliance, providing guidance to stakeholders. Manage third-party vendors for entity management and support KYC requests. Collaborate with teams to ensure accurate reporting and document filing. Monitor legal and regulatory changes, advising on potential impacts. Conduct audits to identify compliance risks and recommend improvements. Develop systems and procedures to ensure ongoing compliance and recordkeeping. Manage relationships with external legal and regulatory bodies, ensuring timely responses. Report compliance metrics to senior management. Uphold confidentiality and ethical standards. Manage budgets for governance and compliance projects. Stay informed on industry trends and best practices. Qualifications Bachelor’s degree in law (preferred), Business, or related field. At least 3 years of experience in entity management, corporate governance, or project management, preferably in a multinational setting. Strong understanding of corporate structures, compliance, and regulations in US, Canada & Caribbean. Excellent organizational, communication, and project management skills. Proficiency in Microsoft Office and entity management software. Preferred Qualifications Certifications such as ICSA, CGEIT, CRMA are advantageous.
